Terms and Conditions of Use

1. Introduction and Acceptance

These Terms and Conditions ("Terms", "Agreement") form a legally binding agreement between Kovention Solutions LLP, a limited liability partnership registered in Ahmedabad, Gujarat, India ("Company", "we", "us", "our") and you ("you", "user").

These Terms govern your access to and use of (a) the website located at www.keshoo.com, (b) the Keshoo web/mobile portal, and (c) any related services and features (collectively, the "Platform"), including astrological calculation, chart generation, and AI-synthesized guidance (the "Services").

By accessing the Platform, creating an account, or using the Services, you confirm that:

1. You are 18 years of age or older (or the age of majority in your jurisdiction);
2. You have read and understood these Terms and agree to be bound by them;
3. You have the legal capacity to enter into this Agreement.

You explicitly consent to receive transactional communications (OTP, payment confirmations, service updates, security alerts) via SMS, WhatsApp, email, or other electronic means.

If you register in India and your mobile number is registered under DND/NCPR, you acknowledge that transactional messages are exempt from such preferences under TRAI regulations.

If you do not agree to these Terms, do not use the Platform.

1.1 Eligibility

You must be at least 18 years of age to create an account and use the Services. If you create charts or profiles for family members who are minors (under 18 years of age), you represent and warrant that you are the parent or legal guardian of such minor, or have obtained verifiable consent from the parent or legal guardian, and you accept full responsibility for such data.

2. Nature of Services and Important Disclaimers

Keshoo provides chart-based assessment and strategic/lifestyle guidance based on your birth details and the Platform's calculation engine. AI is used to help synthesize and present outputs in a readable form.

2.1 Not Professional Advice

The Services are provided for educational, informational, entertainment, and lifestyle purposes only. Outputs do not constitute and should not be interpreted as:

1. Medical, psychiatric, or mental health advice;
2. Legal advice;
3. Financial, tax, or investment advice;
4. Relationship or marriage counselling from a licensed professional.

You should not make important life decisions based solely on Platform outputs. Always consult qualified professionals for matters affecting your health, legal rights, finances, or wellbeing.

2.2 No Remedies / No Ritual Products

Keshoo does not sell or prescribe gemstones, rings, rituals, mantras, pujas, or similar remedies. The Services focus on analysis, reflection, and practical guidance.

2.3 AI Limitations

AI-generated interpretations may be incomplete, generalized, or inaccurate. While we aim for high calculation integrity, we do not guarantee that any output is error-free. You are solely responsible for how you interpret and use the Services.

2.4 No Guarantees

We do not guarantee outcomes of any kind (career, relationships, finances, health, etc.).

2.5 AI Processing Disclosure

The Platform uses artificial intelligence to synthesize and present astrological interpretations. Your birth details are used to perform deterministic astronomical calculations on our servers. Only calculated chart data (planetary positions, house placements, derived metrics) and your age are sent to AI systems for narrative synthesis—your name, exact birth date, birth time, and birth location are NOT transmitted to any third-party AI provider. Despite this separation, AI-generated content may still be incomplete, generalized, or contextually imperfect.

Voice Input Processing: If you use the voice input feature, your audio recording is transmitted to a third-party speech-to-text service solely for conversion to text. Only the audio is transmitted—your name, birth details, and account information are not shared with this provider. The resulting transcript is then processed as a standard text query. Audio recordings are not stored after transcription.

Birth Place Lookup: When you search for a birth location, your search text is sent to a third-party geocoding service to return matching locations and geographic coordinates. No other personal data is included in these requests.

2.6 Content Moderation

The Platform includes safety filters to prevent generation of harmful content. We reserve the right to decline to generate outputs for queries that our systems identify as potentially harmful, including but not limited to: predictions of death or serious illness, content that may encourage self-harm, or legally prohibited predictions. Refusal to generate such content does not entitle you to a refund of Credits consumed.

3. Privacy and Data Use

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.

No-Selling Policy: We do not sell, rent, or trade your personal data to third-party advertisers or data brokers.

4. Account Registration and OTP Login

4.1 Registration

To use certain features, you must verify your mobile number via One-Time Password (OTP). You agree to provide accurate details.

4.2 Account Security

You are responsible for maintaining the confidentiality and security of your account/device access and for all activity under your account.

4.3 Data You Enter for Charts

You may enter birth details to generate astrological charts. By entering any birth details (whether your own or another person's), you represent and warrant that:

1. You have the legal right to provide such information, either because it is your own data, or because you have obtained appropriate consent from the individual whose data you are entering;
2. You will not use the Platform to process another person's data for any unlawful, harassing, or malicious purpose;
3. You accept sole responsibility for the accuracy and legitimacy of all data you enter.

Keshoo cannot verify the identity of the person whose birth details you enter, nor can we verify that you have obtained their consent. We rely entirely on your representations above.

You agree to indemnify Keshoo against any claims arising from your entry of another person's data without proper authorization.

4.4 Termination

You may delete your account through the Platform (if available) or by contacting support. We may suspend or terminate access for violation of these Terms or misuse/abuse/security risk.

4.5 Third-Party Data and Minors

The provisions of Section 4.3 apply to all third-party data you enter, including but not limited to family members, friends, colleagues, or any other individuals. The additional requirements below apply specifically when the data subject is a minor.

If the Platform permits you to create profiles for family members, including minors:

1. You represent that you are the parent or legal guardian of any minor whose details you enter, or that you have obtained verifiable parental/guardian consent;
2. You accept sole responsibility for the accuracy of such data and for any use of Services related to such profiles;
3. Keshoo does not knowingly provide Services directly to minors. If we become aware that a minor has independently created an account, we will terminate it and delete associated data.

5. Purchases, Question Credits, and Refunds

Keshoo operates on a pay-per-question / credit model. Users may purchase question credits or packs ("Credits") to access certain features (e.g., asking questions, generating specific briefings).

5.1 Pricing, Currency, and Taxes

Prices are displayed on the Platform in Indian Rupees (INR). All prices are inclusive of applicable Goods and Services Tax (GST) unless otherwise stated at checkout. For users outside India, prices are converted to local currency by your payment provider at prevailing exchange rates; any currency conversion fees are your responsibility.

5.2 Payment Processing

Payments are processed by third-party payment gateways (e.g., Razorpay/Payment Provider). We do not store your full card/bank details.

5.3 Credit Consumption

When you submit a paid question or trigger a paid feature, the applicable Credits will be deducted as displayed on the Platform.

5.4 Credit Validity

Credits purchased on the Platform do not expire. Your Credit balance remains available as long as your account is active and in good standing.

5.5 Refund Policy

Because Services are digital and delivered instantly, purchases are generally non-refundable once a paid question is submitted or a paid output is generated.

However, refunds/adjustments may be provided:

1. Where required by applicable law; or
2. For duplicate charges; or
3. Where payment was deducted but the paid service was not delivered due to a verifiable technical error.

5.6 Credits on Account Termination

If your account is terminated by you: Any unused Credits will be forfeited unless you request a refund of unused Credits within 30 days of termination, subject to Section 5.5.

If your account is terminated by us for violation of these Terms: Unused Credits will be forfeited without refund.

If your account is terminated by us for reasons other than your violation (e.g., discontinuation of Services): We will refund the value of unused Credits to your original payment method within 60 days.

5A. Electronic Communications and Consent

5A.1 By creating an account, you consent to receive electronic communications from us, including:

• Transactional messages (OTP, payment confirmations, credit balance updates)
• Service announcements and security alerts
• Responses to your support requests

5A.2 These communications may be sent via SMS, WhatsApp, email, push notifications, or in-app messages.

5A.3 Transactional and security communications are essential to providing the Services and cannot be opted out of while maintaining an active account.

5A.4 We do not currently send promotional or marketing communications. If we introduce such communications in the future, we will obtain your separate consent and provide clear opt-out mechanisms.

6. Acceptable Use and Prohibited Activities

You agree not to:

1. Use the Platform for illegal purposes;
2. Harass, abuse, or harm others;
3. Attempt to bypass security features or gain unauthorized access;
4. Use automated scraping, bots, spiders, or similar methods to extract content or outputs;
5. Reverse engineer, decompile, or attempt to discover proprietary logic, prompts, validation layers, or calculation modules;
6. Use the Platform primarily for competitor benchmarking or building a competing service.

7. User Inputs and Outputs

You may provide inputs (birth details, questions, notes). Outputs are generated from those inputs.

You retain rights to your inputs.

You grant us a limited license to process your inputs only to provide the Services, maintain security, prevent abuse, and operate the Platform as described in the Privacy Policy.

You agree not to submit unlawful, harmful, or infringing content.

8. Intellectual Property

The Platform and Services, including code, calculation modules, UI, logos, visual designs, and content, are owned by Kovention Solutions LLP or licensors and protected by applicable IP laws.

We grant you a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use.

You may not reproduce, redistribute, resell, or exploit Platform outputs at scale or for commercial purposes without written permission.

You acknowledge that the Platform's calculation methodologies, briefing structures, prompt architectures, validation logic, and AI synthesis pipelines constitute trade secrets and proprietary information of Kovention Solutions LLP. Any attempt to reverse engineer, extract, replicate, or derive these systems is strictly prohibited and may result in legal action.

9. Third-Party Services

We use third-party service providers to operate the Platform, including but not limited to: cloud hosting, SMS/OTP delivery, payment processing, AI synthesis, speech-to-text transcription, geocoding/place lookup, and analytics. We are not responsible for third-party outages or failures beyond our reasonable control. Details of what data is shared with each category of provider are set out in the Privacy Policy.

10. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties (express or implied), including fitness for a particular purpose and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law:

1. We are not liable for indirect, incidental, special, consequential, or punitive damages.
2. Our total liability for any claim shall not exceed the amount you paid to us in the six (6) months prior to the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under applicable law, including under the Consumer Protection Act, 2019 (India)

12. Indemnification

You agree to indemnify and hold harmless the Company and its personnel from claims, damages, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or violation of third-party rights.

13. Force Majeure

We are not liable for delays/failures due to events beyond our reasonable control (internet failures, outages, natural disasters, government actions, etc.).

14. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised "Last Updated" date. Continued use of the Platform means acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

15.1 Informal Resolution First

Please contact us first and we will attempt to resolve disputes informally.

15.2 Arbitration

If unresolved, disputes shall be referred to binding arbitration in Ahmedabad, Gujarat, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English. The arbitral award shall be final and binding.

15.3 Courts / Jurisdiction

Courts in Ahmedabad, Gujarat shall have exclusive jurisdiction for interim relief or where arbitration is not permitted by law.

15A. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15B. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kovention Solutions LLP regarding the Platform and supersede all prior agreements, understandings, representations, and warranties.

15C. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it at a later time.

15D. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor entity in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, upon notice to you.

15E. Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or inconsistency.
